Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the ReconPe software, applications, and website (the "Service"). ReconPe is a business registered in India under the MSME (Udyam) framework. By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation.

2. The Service

ReconPe provides AI-assisted data reconciliation. You upload source and target data; the Service detects formats, proposes mappings and rules, runs probabilistic matching, and surfaces exceptions for your review. AI features assist with the first pass; reconciliation decisions remain subject to your review and approval. We may update, improve, or modify the Service over time.

3. Accounts

You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorised use.

4. Acceptable use

You agree not to:

  • Use the Service in violation of any applicable law or regulation;
  • Upload data you do not have the right to process, or that infringes the rights of others;
  • Attempt to disrupt, reverse-engineer, or gain unauthorised access to the Service or its infrastructure;
  • Resell or provide the Service to third parties except as expressly permitted by your plan.

5. Your data

You retain all rights to the data you upload. You grant us the limited rights needed to host and process that data to provide the Service to you, including sharing it with the sub-processors described in our Privacy Policy (such as cloud hosting and the AI providers that power our AI features). Our handling of personal data is described in our Privacy Policy. We do not use the contents of your uploaded reconciliation files to train third-party AI models.

6. Plans, fees, promotions, and refunds

The Service is offered across multiple plans and product surfaces (including marketplace reconciliation and FinanceOps), each with its own fees and usage limits shown on the applicable pricing page or at checkout; plans and product surfaces are billed separately. Paid plans are billed in advance for the period shown at checkout and are exclusive of taxes unless stated otherwise.

Promotional offers (such as a complimentary first month of the Growth plan) are subject to the terms shown at sign-up, are limited to one per organisation, require no payment method to start, and convert to the Free plan at the end of the promotional period unless you choose a paid plan. We may modify or withdraw promotional offers at any time.

Except where required by applicable law, fees are non-refundable, and we do not provide refunds or credits for partial periods, downgrades, or unused capacity. If you cancel, your plan remains active until the end of the current billing period and does not renew. We may change fees on renewal with reasonable prior notice.

7. Intellectual property and feedback

The Service, including its software, design, and content (excluding your data), is owned by ReconPe and protected by intellectual property laws. These Terms do not grant you any rights in the Service except the limited right to use it in accordance with these Terms.

If you provide feedback or suggestions, you grant ReconPe a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate them without restriction or obligation to you.

8. Third-party services and beta features

The Service integrates third-party services, including AI model providers, cloud hosting, and payment processors, which may have their own terms. We are not responsible for the availability, acts, or omissions of third-party services.

Features labelled beta, preview, or early access are provided "as is" without warranty, may change or be withdrawn at any time, and are excluded from any service-level expectation.

9. Service availability

We do not guarantee that the Service will be uninterrupted, error-free, or available at any particular time, and we provide no service-level or uptime commitment under these Terms unless separately agreed in writing for your plan. We may perform scheduled or emergency maintenance and will use reasonable efforts to give notice of planned downtime.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, ReconPe disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that reconciliation results, matches, or AI suggestions are complete, accurate, or error-free; matching is probabilistic and you are responsible for reviewing outputs before relying on them. ReconPe assists with reconciliation but does not provide accounting, audit, tax, legal, or financial advice, and is not a substitute for professional judgement or statutory review.

11. Limitation of liability

To the maximum extent permitted by law, ReconPe will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, or data.

Our total aggregate liability for all claims arising out of or relating to the Service is limited to the total fees you paid us for the Service in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless ReconPe and its officers, employees, and agents from any third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of: (a) the data you upload or your right to process it; (b) your use of the Service in breach of these Terms; or (c) your violation of any law or third-party right. We will notify you of the claim, may participate in the defence with our own counsel, and you may not settle any claim in a manner that imposes liability or an admission on ReconPe without our prior written consent.

13. Term and termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to protect the Service or other users. On termination or expiry, you may export your data in a standard format for a reasonable period; after that, we delete or de-identify your uploaded reconciliation data within the timeframe described in our Privacy Policy, except records we must retain by law. Provisions that by their nature should survive termination will survive.

14. Force majeure

Neither party is liable for any failure or delay in performance (other than payment obligations) to the extent caused by events beyond its reasonable control, including acts of God, war, government action, power or internet failures, or failures of third-party hosting, network, or telecommunications providers.

15. Changes to these terms

We may update these Terms from time to time. For material changes (such as to fees, liability, or your core rights), we will give reasonable prior notice by email or in-product before they take effect; if you do not agree, you may stop using the Service before the effective date. Continued use after changes take effect constitutes acceptance.

16. General

You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets on notice to you. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions continue in full force. These Terms, together with the Privacy Policy and any plan or order details shown at checkout, are the entire agreement between you and ReconPe and supersede prior understandings. Our failure to enforce any provision is not a waiver of it. We may give notices by email to your account address, in-product, or by posting; you may send legal notices to support@reconpe.com.

17. Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The courts of competent jurisdiction in India shall have jurisdiction over any dispute arising out of or relating to these Terms.
